This service enables the listed public joint-stock companies and private companies to obtain the CMA’s approval for the securitization process

Conditions & Requirements

The application is limited to the issuance of the following securitized financial instruments

Secured securitized instruments rely on cash flows from the portfolio, with the originator obligated to secure payments through guarantees on movable, immovable, or owned assets

Asset-backed securitized financial instruments secured by mortgage loans: These are a type of asset-backed financial instruments that are secured by a mortgage lien on real estate

Issuer Conditions: The issuer must be established in accordance with the decisions issued by the CMA

The issuer is prohibited from engaging in any activity other than the issuance of securitized financial instruments resulting from the securitization process and any purpose that completes the securitization process

The issuer must have a securitization institution that manages it, makes decisions on its behalf, and represents it to third parties

Required Documents

  1. Securitization Prospectus according to the model prepared by the CMA

  2. Description of the Securitization Structure

  3. Credit Rating Report for the securitization portfolio issued by a rating agency licensed by the CMA (for public offerings).

  4. Incorporation Documents of the issuing entity

  5. Independent legal advisor’s declaration per CMA form confirms the originator owns the financial assets at securitization, free from liabilities, with a True Sale agreement valid under applicable laws.

  6. A copy of all other required regulatory approvals where applicable, including the approval of the UAE Central Bank if the originator is licensed by them

  7. Valuation Report issued by an independent appraiser for the financial assets in the securitization portfolio

  8. Compliance declaration per Authority Chairman’s Decision No. (22/R.M) of 2023 on securitization, plus auditor’s certificate confirming the net value and valuation basis of the securitization portfolio

  9. The securitization agreement between the originator and the securitization institution for transferring the financial assets to the issuing entity

  10. agreements with all parties in the securitization process, including the custodian, issuing manager, collection agency, credit rating agency, and any other involved entities

  11. Shariah compliance report if the issuance is of an Islamic nature, confirming compliance with Islamic Sharia principles and the payment of the prescribed fees to the CMA

  12. Any other data, documents, or conditions required by the CMA
