Conditions & Requirements

The concerned fund must be previously registered or approved to be established or licensed by the CMA.

The management company shall be fully complied with all controls applicable to the fund, and with the conditions and procedures specified in the fund’s offering document, as for all liquidation steps and under the management company’s responsibility.

The legal representative must submit the application to deregister the local investment fund before or after liquidation, following controls and the offering document, using Form 10410.

Required Documents

  1. A certificate from the legal advisor confirming that the fund was liquidated per applicable regulations and offering document, with all contracts ended and accounts in the fund’s name closed.

  2. A certificate from the fund’s auditor confirming that the fund’s assets were liquidated, all liabilities settled, remaining amounts distributed to unit holders, and no amounts were withheld or unpaid.

  3. Certificate from the management company stating the same contents of undertakings provided by the legal representative and the auditor of the fund.

  4. Copy of fee payment receipt for the applied service (if applicable).

  5. The fund liquidation plan (only applies to the fund that, as per the applicable controls and the offering document, needs the CMA’s pre-approval in order to start the liquidation process).

  6. The Authority may request additional documents. For funds needing prior approval to start liquidation, submitting certificates (1, 2, 3) is deferred until the liquidation process is complete.
